STEP 2: Review the Reservation Requirements and Terms.

Grupo Mariana, S.A. (the “Vendor”) is developing two real estate developments (the “Developments”) in the municipality of Leon and San Rafael del Sur, Nicaragua. Priority Reservation grants the Reservation Holder certain privileges subject to the following terms and conditions:

In case the depositor is a foreign LLC or a Company:

  1. A copy of the Articles of Incorporation/Association;
  2. A copy of the Company Bylaws, Company Resolution;
  3. Power(s) of attorney or other document(s) which grant(s) legal authority to the authorized signatory to act as the legal representative for the entity for the matters related to this Reservation Agreement and to sign on behalf of the entity; and
  4. A copy of passport and driver’s license issued by a Governmental entity (legible and in force) of legal representatives.

In case the Depositor is a Trust:

  1. A copy of trust agreement and its modifications if any; and
  2. A copy of driver’s license and passport issued by a Governmental entity (legible and in force), of the person authorized to act on behalf of said trust as well as of the Beneficiary.

Subject to the adjustments described herein, the Sale Price will be payable by the PROMISSORY PURCHASER as follows:

The PROMISSORY PURCHASER will pay a “Reservation Deposit” of FIVE THOUSAND UNITED STATES DOLLARS (USD $5,000.00) within seven days from the date of the signed Reservation Agreement. The Reservation Agreement deposit will be refundable for a period of thirty days (30), in which the PROMISSORY PURCHASER may cancel unilaterally this Reservation Agreement by written communication to the PROMISSORY VENDOR and the ESCROW AGENT appointed to hold the funds.

Return of Reservation Agreement Deposit

The PROMISSORY PURCHASER may at any time request ESCROW AGENT to return the Reservation Deposit within 30 days of the date of the signing of the Reservation Agreement, and upon receipt of such written request, the ESCROW AGENT shall forthwith deliver to the PROMISSORY PURCHASER the Reservation Agreement deposit. The PROMISSORY PURCHASER shall notify the PROMISSORY VENDOR of his decision not to purchase a Unit in writing to the seller.

Confirmation Deposit Terms

The PROMISSORY PURCHASER shall pay the balance due of (100%) of the Purchase Price (“Confirmation Deposit”) within 30 days from the date of the signed Reservation Agreement.

Transaction Cost

All cost of fees associated with the execution of the Promise of Sale will be paid by the PROMISSORY PURCHASER on or before the date title is transferred with the issuance of the Public Deed of Sale. Currently, the estimate closing costs are:

  • 1% of the purchase price for Central Government transfer tax;
  • 1% of the purchase price as municipal tax;
  • 1% of the purchase price for the Public Registry Duties per lot/unit; and
  • 1% of the purchase price for attorney fees.

The attorney of record prior to the closing date will send a Closing Cost statement and any additional amount required by law or that corresponds to additional services requested by the PROMISSORY PURCHASER. The PROMISSORY PURCHASER recognizes that without the deposit of this amount, the Public Deed of Sale may not be issued until this condition is verified. The PROMISSORY PURCHASER recognizes these are estimates according to current regulation and recognizes definitive amounts to be covered can only be determined at the time the Closing Cost statement is sent.

General Terms

If this reservation agreement is accepted by the PROMISSORY VENDOR, the PROMISSORY VENDOR will provide a separate Promise of Sale Agreement to you. The Sale Price is net of any withholding tax or any other deduction that might be applicable. All amounts are in United States Dollars, unless otherwise specified.

The Reservation Agreement may not be accepted if:

  1. An accepted Reservation Agreement is already in place on the Unit(s) described above;
  2. A Reservation Agreement is in progress on the Unit(s) described above or;
  3. Any portion of this Reservation Agreement is not complete
  4. The PROMISSORY VENDOR rejects the reservation request for any reason

Confidentiality

Grupo Mariana, S.A. will not disclose to third parties any information regarding the PROMISSORY PURCHASER without previous written consent, except as required to open an escrow account.
